Bylaw Amendment Proposal #1: The Board proposes that the rules regarding the absence of a quorum for the Annual Membership Meeting, Article V, Section 5.5 of the Bylaws of Colorado West Unit 364 be amended to read as shown below.
Currently, the Bylaws provide the requirements for a quorum for the annual meeting but they are silent as to what action to take should those requirements not be met. The change below will provide guidance and discretion for the Board in such an event.
The Board recommends the members of the Unit approve this bylaw amendment, which changes Section 5.5 to read as follows:
ARTICLE V - Membership Meetings
Section 5.5 Quorum.
Section 5.5. Quorum.
5.5.1 Five percent (5%) of the Unit membership in good standing attending a membership meeting shall constitute a quorum. With respect to all matters other than the election of directors, action is approved if a quorum exists and if the votes cast in favor of the action exceed the votes cast in opposition to the action.
5.5.2 If such a quorum is not present, the meeting shall be adjourned in a way described below by the Board of Directors. The Board of Directors shall have the discretion to:
a) Reschedule the meeting at a future date, not to exceed 60 days from the date of adjournment; or
b) Cancel the meeting altogether.
